The most common cause of a product import failing is that the file is not comma delimited, and is in fact semi-colon or tab delimited.
You can verify that this is the case by opening the file in a text editor such as Notepad or Wordpad. Each "column" in the file should be separated by a comma. For example, if the first line of the file is something along the lines of;
